TERMS AND CONDITIONS - SAS ROV EXPERT

Only the French version of these GTC, including its appendices, is legally binding.

1. Scope of application

These General Terms and Conditions of Sale (GTCS) apply to all transactions entered into by SAS ROV EXPERT, including :

Acceptance of any quotation or order implies unreserved acceptance of these GTS. They prevail over any document issued by the customer.

The General Terms and Conditions are supplemented, where applicable, by :

All orders are final only after written confirmation from SAS ROV EXPERT.

Unless otherwise stipulated, offers are valid for 30 days from the date of issue.

3. Awards

Prices are given in euros, excluding VAT.

SAS ROV EXPERT reserves the right to adjust prices according to economic conditions (exchange rates, supplier costs, taxes, customs duties, transport, regulations).

4. Terms of payment

Unless otherwise agreed in writing, all orders are payable in full. before shipment or start of service.

In the event of exceptionally deferred payment :

SAS ROV EXPERT's receivables may be covered by a credit insurance. In the event of non-payment, SAS ROV EXPERT reserves the right to entrust collection to an authorized third party (notably COFACE). Any costs incurred may be billed in full to the customer.

Any payment incident will result in immediate suspension of all payment facilities.

5. Delivery - Transport - Incoterms

Lead times are indicative and run from the date of written order confirmation.

Goods travel at the customer's risk.

Unless otherwise specified, deliveries are deemed to be EXW - Incoterms® 2020.

6. Reservation of ownership

The products sold remain the exclusive property of SAS ROV EXPERT until full payment of the price, principal and accessories.

7. Transfer of risk

The transfer of risk occurs on delivery, independently of the transfer of ownership.

8. Intellectual property

SAS ROV EXPERT retains all its intellectual property rights, including methods, software, know-how and documentation.

The purchase, rental or service does not imply any transfer of intellectual property rights.

9. Suspension - Termination

In the event of non-payment or breach of contract, SAS ROV EXPERT reserves the right to immediately suspend deliveries, rentals, services, technical support and warranties.

10. Jurisdiction

Any dispute arising in connection with these GTCs shall fall under the exclusive jurisdiction of the Béziers Commercial Court.

📎 APPENDIX 1 - SPECIFIC EQUIPMENT RENTAL CONDITIONS

1. Purpose

This appendix applies to all equipment rental carried out by SAS ROV EXPERT.

2. Rental period

The rental period runs from departure from SAS ROV EXPERT's premises until actual return equipment. Any fraction of a day is due.

3. Liability - Condition of equipment

The equipment is supplied in perfect working order. The hirer is fully responsible for the equipment from the moment he/she takes possession of it.

The customer bears all risks of loss, theft, deterioration, immersion, corrosion, battery, cable, improper use or total destruction.

4. Insurance

The lessee undertakes to take out insurance covering the leased equipment at its new replacement value, including underwater operations.

5. Restitution

Equipment must be returned clean and in its original condition. Any delay or damage will give rise to invoicing (repair, immobilization, replacement).

6. Bans

Any subletting, modification or transfer without written agreement is forbidden.

📎 APPENDIX 2 - SPECIFIC CONDITIONS OF SERVICE

1. Nature of obligation

The services provided by SAS ROV EXPERT are subject to a obligation of means, not results.

2. Terms and conditions

Deadlines may be suspended in the event of adverse weather conditions, unavailability of the site, missing authorizations or incorrect information supplied by the customer.

3. Data and results

Data resulting from services (reports, videos, measurements) are made available to the customer for internal use. SAS ROV EXPERT retains ownership of its methods and tools.

4. Liability

SAS ROV EXPERT's liability is limited to the total amount of the service in question. Indirect damages are expressly excluded.
